Standard License question(s)

Hi guys, myself and another person are looking at the means/feasibility of migrating an active community from facebook on to a platform we control, and are looking at options out there for doing so without a lot of wheel-reinventing. That brings us to you all, who appear to have a very nice system that is similar to what we need to do with a plethora of useful plugins/add ons that we have been discussing.

Congratulations to you all on what appears to be a very well rounded and expandable CMS.

My question and our first hurdle is, the standard license that your base system and most plugins seem to use, specifically in regard to transfer. I'm seeing a limitation on transfer of license, with the specific caveat of "However, DEVELOPMENT PARTNER shall not unreasonably withhold its consent to an assignment."

Not being an attorney, explain to me my ability to assign a license to, for instance, a buyer of our entity if such an entity were to build a service/system/company on your CMS and associated plugins?

In more standard terms, what happens if we decide to turn our community into a business, and later sell it. What hurdles are there to transferring plugin licenses we have purchased from you?

I don't believe that there are any hurdles. After all the addons where purchased and you wouldn't be giving just the addon, you would be giving the entire site to a new party, including the right to those license. I don't believe that there would be any conflicts.

Correct, my only concern is the ability to transfer the entire operation to another party, not transferring individual licenses.

What exactly do you mean by the entire operation? I thought you meant transferring the site and its add ons.

That's what I meant.

In layman's terms, if we started XYZ.com based on this CMS and associated plugins, all legally purchased for XYZ.com which was say owned by XYZ LLC, and someone comes along and wants to buy XYZ LLC from us, including XYZ.com and all associated licenses, there is no problem with us doing so, correct?

Oh, that is not anything to be worried about. 1. there is no way to track that sort of thing even if they wanted to, and 2. they don't care about that sort of thing. The important thing is that you don't sell the add on as though it was your own!

yes to be clear, the license is for one live website and as long as you're selling the website as a one off along with the license - you're fine.

The only way you'd get into issues is if you sold a copy to someone while retaining the original, or sold it to someone else who went off and sold copies without compensating the developer.
