Cannot activate a downloaded Theme

I'm running 5.7 and have a test installation and want to use the Neat theme. I first downloaded it using the builtin Get more themes. It did not give me a message indicating it was finished, so I downloaded the zip, unzipped it and placed it in the Packages directory.

When I try to Activate Neat, it is NOT listed.

Suggestions?
